Corporate Documents & Post-Registration Steps
What you receive after registration · immediate priorities · compliance calendar · next steps
Once a Romanian company is registered at the Trade Register (ONRC), a package of official documents is issued. These documents are the legal foundation for everything that follows — banking, contracting, tax compliance, employment and regulatory dealings. Understanding what you receive, what it means and what must happen next is essential for a smooth operational start.
Romania For Business SRL delivers the full bilingual document package to the client on the day of receipt from ONRC, and supports the post-registration steps — including bank account coordination, VAT registration, tax compliance setup and introduction to accounting partners.
Once the registration certificate (certificat de înregistrare) is in hand and the CUI tax number is assigned, the company is legally active. It can issue invoices, enter into contracts and begin commercial activity. Opening a bank account and transferring share capital must happen within defined deadlines — but trading can start from day one.
Documents You Receive After Company Registration
The following documents are issued when a Romanian SRL is registered. Romania For Business SRL provides all documents in bilingual (Romanian/English) format and delivers them digitally on the day of receipt. Physical originals are available on request.
| Document | Description | Format / issued by |
|---|---|---|
| Registration certificate Certificat de înregistrare |
The primary official document. Contains company name, CUI tax number, registration number (J) and registered address. Required for banking, contracts and all official dealings. | Issued by ONRC on approval |
| Articles of Association Act Constitutiv |
The founding document setting out ownership structure, share capital, directors, CAEN codes and governance rules. Bilingual Romanian/English version prepared by our team. | Bilingual — signed by all shareholders |
| CAEN code annexe | Annexe to the registration certificate listing all authorised business activities by CAEN code. Required for licence applications and regulatory filings in certain sectors. | Attached to registration certificate |
| ANAF tax registration | Confirmation of registration with the Romanian tax authority — assigns the CUI (Cod Unic de Identificare) fiscal number and confirms the applicable tax regime (microenterprise or standard CIT). | Issued by ANAF within 1–2 days |
| UBO declaration confirmation | Confirmation that the beneficial owner (UBO) declaration has been filed with the Trade Register, as required under Romanian AML law. Must be updated within 15 days of any change in beneficial ownership. | Filed simultaneously with registration |
| Trade Register extract Extras ONRC |
A public document extract from the Trade Register confirming the company’s current registered information. Required frequently by banks, partners, authorities and notaries. | Available digitally via ONRC portal |
Immediate Post-Registration Priorities and Deadlines
The period immediately after registration is the most time-sensitive phase of operating a new Romanian company. Several deadlines apply within days or weeks of registration — missing them can result in fines or compliance complications.
Receive documents & begin operations
Open bank account
Hire first employee (micro regime)
Obtain Registrul Unic de Control
Transfer share capital to account
Monthly / quarterly filings begin
| Action | Deadline | What is involved |
|---|---|---|
| Immediate — within the first days | ||
| Receive and verify document package | Day 1 | Check all documents for accuracy. Report any errors to Romania For Business SRL immediately — corrections must be filed at ONRC before the company is used officially. |
| Set up company email and basic communications | Day 1–3 | Establish the company’s official communication channels. The registered address receives official correspondence — ensure the virtual office forwarding is active. |
| Engage a Romanian accountant | Day 1 | A qualified Romanian accountant (contabil autorizat or expert contabil) must be engaged from the start of activity. Required for tax filings, VAT registration and the microenterprise employee condition. |
| Within 30 days of registration | ||
| Open company bank account | 30 days | Romanian traditional banks require the company director to attend in person. Book the appointment as early as possible — bank processing can take several days after the meeting. Digital banking alternatives (Revolut, Wise) may allow remote opening. |
| Transfer share capital | 30 days after account | The minimum share capital (500 RON or the amount declared in the Articles) must be transferred to the company bank account within 30 days of the account being opened. Keep the bank transfer confirmation. |
| Hire first employee (if on microenterprise regime) | 30 days | To qualify for the microenterprise revenue tax regime (1% or 3%), at least one employee must be registered within 30 days of incorporation. Failure to meet this condition means the company defaults to 16% standard CIT from its first quarter. |
| Obtain Registrul Unic de Control | 30 days | A mandatory register that must be obtained from the local ANAF office within 30 days of registration. Records official inspections of the company. Failure to obtain it results in a fine of approximately RON 1,000–2,500 (approx. €200–500). Romania For Business SRL can coordinate this. |
| Apply for VAT registration (if required) | Before first taxable supply | If the company intends to conduct VAT-taxable activities from day one, voluntary VAT registration can be applied for immediately after registration. Mandatory VAT registration triggers when annual turnover exceeds RON 395,000. EU VAT (VIES) is a separate application. |
| Within 60 days of registration | ||
| Bank account must be operational | 60 days | The company bank account must be open and active within 60 days of registration. This is a legal obligation — failure to meet it can be flagged during ANAF inspections. |
| Register for EORI (if importing/exporting) | Before first trade | EORI (Economic Operators Registration and Identification) number is required for import or export of goods outside the EU. Applied for with ANAF after company registration. Romania For Business SRL coordinates as an optional add-on. |
| Ongoing from first month of activity | ||
| Monthly / quarterly tax filings begin | 25th of month | Microenterprise revenue tax (D100) declared and paid quarterly. VAT returns (D300) monthly or quarterly. Payroll obligations if employees. Your accountant manages all filing deadlines. |
| UBO declaration — keep current | Within 15 days of change | The beneficial owner declaration must be updated within 15 days of any change in ownership, directors or beneficial ownership structure. Romania For Business SRL coordinates updates. |
| Annual financial statements | 30 June & 31 Dec | Two sets per year — interim (30 June, filed by 25 August) and annual (31 December, filed by 30 June following year). Prepared by your Romanian accountant. |
Opening a Company Bank Account in Romania
The company bank account is a separate legal step from company registration — it is opened after the registration certificate is issued, using the company documents. Most Romanian traditional banks require the company director to attend a branch in person. Digital banking alternatives now offer remote account opening for some company types.
| Bank / option | Suitable for | In-person required? |
|---|---|---|
| BRD — Groupe Société Générale | Wide branch network across Romania; good for general business | ✓ Yes — director in branch |
| Raiffeisen Bank Romania | Strong international client support; English-language service | ✓ Yes — director in branch |
| ING Romania | Good digital banking features; suitable for online-focused companies | ✓ Yes — director in branch |
| OTP Bank Romania | Useful for clients from Central/Eastern Europe; competitive FX rates | ✓ Yes — director in branch |
| UniCredit Bank Romania | International brand; good for EU-linked operations | ✓ Yes — director in branch |
| Revolut Business (Lithuania) | Fully remote account opening possible; no Romanian branch visit | ✗ Remote available |
| Wise Business (UK/EU) | Remote account opening; IBAN available; suitable for international payments | ✗ Remote available |
Bank appointment availability in Romania can vary — popular banks in Bucharest often have waiting times of 1–2 weeks for new company account openings. We recommend contacting the bank to schedule an appointment before the registration certificate is issued, so the account can be opened without delay after receipt of documents.
Romania For Business SRL coordinates the bank account opening process — including advising on bank selection, preparing the required documentation pack and arranging the appointment. Bank account coordination is available as an optional add-on to the formation package.
Registrul Unic de Control — What It Is and Why It Matters
The Registrul Unic de Control (the Unified Control Register) is a mandatory compliance document that every newly registered Romanian company must obtain from the local ANAF tax office within 30 days of registration. It is a physical or digital register kept at the company’s premises that records any official inspections, controls or audits by Romanian regulatory authorities.
| Aspect | Detail |
|---|---|
| Who requires it | All Romanian companies — SRL, branch, SA and others. There are no exemptions for foreign-owned or newly formed companies. |
| When to obtain it | Within 30 days of the date of company registration at the Trade Register (ONRC). The 30-day clock starts on the registration date — not the date you receive the documents. |
| Where to get it | From the ANAF territorial office responsible for the company’s registered address (sediu fiscal). Romania For Business SRL coordinates this on the client’s behalf. |
| Cost | A nominal fee of approximately RON 100–150 (approx. €20–30). The exact amount is confirmed by ANAF at the time of purchase. |
| Penalty for non-compliance | Failure to obtain the register within 30 days results in a fine of RON 1,000–2,500 (approximately €200–500) under Romanian contravention law. The fine is applied per inspection finding — not per day. |
| What it records | Every official inspection, control visit or audit by ANAF, labour inspectors, environmental authorities or any other regulatory body. Inspectors must record their visit in the register at the time of the inspection. |
| Where it must be kept | At the company’s registered address or operational premises — wherever an inspection could take place. For virtual office companies, the register is typically kept with the accountant or at a designated location. |
Transferring the Share Capital to the Company Bank Account
The share capital declared in the Articles of Association must be transferred to the company bank account after the account is opened. This is a separate step from registration — the company is registered with a declared capital amount, but the actual funds are transferred afterwards.
| Point | Detail |
|---|---|
| When to transfer | Within 30 days of the bank account being opened (not within 30 days of registration — the clock starts when the account is active). |
| How much to transfer | The full amount declared as share capital in the Articles of Association. For standard formations, this is 500 RON (approximately €100). For companies with higher declared capital, the full declared amount must be transferred. |
| Who transfers | Each shareholder transfers their proportionate share of the total capital from their personal bank account to the company account. The company’s CUI number and name must be referenced in the transfer. |
| Bank confirmation | Keep the bank transfer confirmation receipt. This document proves compliance with the share capital requirement and may be requested by ANAF during inspections or when applying for VAT registration. |
| After transfer | The company accountant records the share capital contribution in the company’s books. No additional Trade Register filing is required for the transfer itself — but a capital increase (if declared capital is later raised) requires an ONRC filing. |
| Share capital vs expenses | The share capital is a legal contribution to the company — it becomes the company’s money, not a fee paid to anyone. It can be used for company expenses, purchases and operations from the moment it is transferred. |
Understanding Your CUI Number and Trade Register Entry
Two identifiers appear in every official document and communication for a Romanian company: the CUI (fiscal identification number) and the J number (Trade Register registration number). Understanding what each is and where to use them avoids practical errors in banking, invoicing and contracting.
| Identifier | What it is | Where it is used |
|---|---|---|
| CUI Cod Unic de Identificare |
The company’s unique fiscal identification number — assigned by ANAF. Prefixed with ‘RO’ for VAT-registered companies (RO + CUI = VAT number). | All invoices, tax returns, contracts, bank documents, official correspondence and authority filings. |
| J number nr. înregistrare |
The Trade Register registration number — assigned by ONRC. Format: J[county code]/[sequential number]/[year] e.g. J40/1234/2025. | Trade Register extracts, official company documents, notarial acts, court proceedings and certain contracts. |
| VAT number RO + CUI |
Only assigned if the company is VAT-registered. Format: RO followed by the CUI number. Must appear on all invoices for VAT-registered supplies. | Invoices to VAT-registered counterparties, VAT returns, intra-EU transactions (VIES). |
| Trade Register extract Extras |
Public document extract from ONRC — confirms current company details including registered address, directors, shareholders and activities. Valid for 30 days from issuance for most official purposes. | Banks, notaries, courts, public procurement, partner due diligence, property transactions. |
Amending Company Documents After Registration
Romanian companies can amend almost any aspect of their registration through a Trade Register (ONRC) filing. Common amendments arise within the first year of operation as the company’s structure and needs evolve.
| Amendment | What is involved |
|---|---|
| Change of director (administrator) | Shareholders’ resolution appointing/removing the director, updated Articles if needed, ONRC filing. Processed in 3–5 working days. Romania For Business SRL coordinates. |
| Change of registered address | New hosting agreement or lease for the new address, ONRC filing. The new address appears in ONRC within 3–5 working days. Annual renewal reminders are sent by our team. |
| Add or change CAEN codes | Shareholders’ resolution or director decision (depending on company structure), ONRC filing. Multiple codes can be added in a single filing. |
| Share capital increase | Shareholders’ resolution, updated Articles of Association, proof of new capital contribution, ONRC filing. Required before applying for VAT with higher capital. |
| Share transfer (change of shareholder) | Share transfer agreement (contract de cesiune), shareholders’ resolution, updated Articles, ONRC filing. For transfers to third parties, the Articles may require supermajority or unanimous consent. |
| Change of company name | Name availability check at ONRC, shareholders’ resolution, updated Articles, ONRC filing. New registration certificate issued with the new name. All documents (invoices, contracts) must be updated. |
| UBO declaration update | Must be updated within 15 days of any change in beneficial ownership. Filed directly with ONRC. Romania For Business SRL coordinates as part of ongoing client support. |
