Register a Company in Romania Remotely

Company formation by power of attorney — no travel required

International founders, investors and foreign business owners can register a company in Romania without travelling to the country. Romania For Business SRL coordinates the complete remote company formation process — from preparing your power of attorney and bilingual incorporation documents to filing at the Trade Register (ONRC) and completing tax registration with the Romanian authorities (ANAF).

All client communication, document preparation and status updates are handled in English. For the large majority of international clients, no physical visit to Romania is required at the registration stage.

No visit to Romania required at registration stage

Most international clients complete the full SRL registration without travelling to Romania. The one step that may require an in-person visit is opening a traditional bank account — digital banking alternatives are available and our team can advise.

How Remote Company Formation Works

The remote process follows the same legal steps as in-person registration. The key difference is how documents are signed and transmitted. Romania For Business SRL manages every step on the Romanian side — you handle document signing from wherever you are.

Three Ways to Sign — Choose What Works for You

Romanian company formation documents require valid signatures from all shareholders and directors. For remote clients, there are three options — each with different speed, cost and convenience trade-offs.

Option A — Most common for non-EU clients

Notarised Power of Attorney

  • Sign the power of attorney before a local notary in your country of residence.

  • The notarised document is sent to us by international courier.

  • Depending on your country, the PoA may need to be apostilled before it is sent.

  • Our team prepares the PoA template in Romanian/English bilingual format for you to take to the notary.

  • Additional cost: ~€110 for notarisation & translation

Option B — Fastest & lowest cost

EU Qualified Electronic Signature

  • If you hold a qualified electronic signature from an EU Trusted List (EUTL) provider, all documents can be signed electronically.

  • No notary, no apostille, no courier — the entire process is digital.

  • This option eliminates the ~€110 notarisation cost and the 3–7 day courier transit time.

  • Check EUTL provider availability at: eidas.ec.europa.eu

  • No additional notarisation cost — fastest remote option

Option C — If you can visit briefly

In-Person Signing in Romania

  • If you are able to visit Romania for approximately two working days, you can sign all documents in our presence.

  • This eliminates notarisation, apostille and courier entirely.

  • Fastest total timeline — typically around 5 working days from signing to registration certificate.

  • Also gives you the opportunity to visit the bank and open the company account during the same trip.

  • Recommended if bank account opening is also needed

  • No additional cost — fastest overall option

When Is an Apostille Required?

An apostille is a form of international certification that authenticates the signature of a notary public for use in another country. Whether your notarised power of attorney requires an apostille depends on your country of residence.

Your country Apostille required? What this means for you
EU Member State Usually not required Most EU-notarised documents are accepted in Romania without apostille. Confirm with our team for your specific country.
Hague Convention country (non-EU) Yes — apostille required Obtain an apostille from the competent authority in your country after notarisation. Our team confirms the exact requirement.
Non-Hague Convention country Legalisation required Full legalisation (via the Romanian embassy/consulate in your country) is required instead of apostille. Timeline and cost vary.
EU qualified e-signature holder Not applicable No apostille needed — electronic signature eliminates the notary/apostille requirement entirely.

Country-specific requirements — always confirm first:

Apostille requirements vary by country and can change. Our team confirms the exact requirement for your country of residence before you begin the notarisation process. Do not proceed with notarisation before confirming this with us.

Bank Account Opening — The One Step That May Require a Visit

Romanian traditional banks require the company director to attend a branch in person to open a business bank account. This is a bank requirement — not a legal or registration requirement — and is completely separate from the company formation process. The company is legally registered without a bank account; the account must be opened and the share capital transferred within 60 days of registration.

Traditional Romanian banks (in-person required) Digital banking alternatives (remote possible)
BRD — Groupe Société Générale
Raiffeisen Bank Romania
ING Romania
OTP Bank Romania
UniCredit Bank Romania
Director must visit a branch in person. We coordinate the appointment and prepare the required documentation.
Some fintech banks accept remote onboarding
Suitability depends on company structure and activity
Not all Romanian payment service providers are accepted by all counterparties
Digital banks may not be suitable for VAT-registered companies with high transaction volumes
Our team advises on digital banking options available to foreign-owned Romanian companies at the time of registration.

Share capital transfer deadline:

The share capital (minimum 500 RON) must be transferred to the company bank account within 30 days of registration. The bank account itself must be opened within 60 days. Factor bank appointment availability into your planning — we recommend booking a bank appointment before the registration is complete.

Cost Overview — Remote Company Formation

The total cost of remote company formation in Romania depends on the signing option chosen, the number of shareholders and whether additional services (VAT registration, virtual office, bank account coordination) are required.

Romania For Business service fee (bilingual docs, ONRC filing, ANAF registration) Trade Register government fee (ONRC) Notarisation & translation (Option A only — waived for Option B & C) Legal address / virtual office in Bucharest VAT registration (if required)

Note for implementation: Do not publish specific service fee amounts on the live page without confirming current pricing. Replace ‘Included’ in the cost band above with the actual fee at the time of publication.

Frequently Asked Questions — Remote Company Formation in Romania

Alternatively, if you visit Romania in person, you sign documents directly in our presence with no PoA required. A notarised power of attorney is only needed for the remote route without an EU e-signature.

It depends on your country of residence. Clients in most EU member states typically do not need an apostille. Clients in non-EU Hague Convention countries require an apostille.
